Introduction

Persona Non Grata Contest is a competition for writer/directors that want to direct their feature film. A team of not more than two people can work together and enter. To enter you must provide a logline, synopsis, script, CV, resume or bio and evidence of previously directed work. The filmmaker of the one winning script will have the opportunity to direct their film. All submission must be made by April 30th, 2012 at 11:59 p.m. ET. 



1) Eligibility

Persona Non Grata Contest (the “Contest”) is open only to legal residents of the fifty (50) United States (including District of Columbia) and the United Kingdom who are at least eighteen (18) years old at the time of entry. An individual may enter by themselves individually or as part of team. A team may only be comprised of two individuals. Individuals submitting on behalf of teams must meet the eligibility requirements for individual contestants. An individual may not join more than one team. Void where prohibited by law. Employees of Mann Film Company LLC, or any of its respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Contest and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee are not eligible. The Contest is subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.



2) Sponsor

Persona Films, Inc., 114 West 17th Street, Third Floor, New York, NY 10011.



3) Timing

The Contest begins on February 1st, 2012 at 12:00 a.m. Eastern Time (“ET”) and ends on April 30th, 2012 at 11:59 p.m. ET (the “Contest Submission Period”). Sponsor’s computer is the official time keeping device for this Contest.



4) How to Enter

During the Contest Submission Period, visit www.PersonaNonGrata.org and fill out the online entry form completely by providing your name, home address, phone number, email address and a 200 word biography or a CV/Resume. In addition you are required to submit the following: i) Logline; ii) Synopsis; iii) Script; and iv) Links to previously directed work (collectively, the “Submission”). Details on each of the elements are as follows:

  • Logline: The Logline should be a maximum of 40 words.
  • Synopsis: The Synopsis should be a maximum of 400 words.
  • Script: The Script should be between 85 and 120 pages and in standard film industry format.
  • Links to Previously Directed Work: Links to website(s) or example of the short films, promos and videos that showcase you film making experience(s).
  • Submission Requirements: Submission must be in English. Submission must not violate the rights of other parties.Submission must be the unproduced, unoptioned, and wholly original fictional work of the entrant(s). There must be no dispute about the ownership of the Submission. Submission which judges determine to be offensive or defamatory will be disqualified.


  • Limit of one (1) Submission per individual. An individual may not be in more than one team or make a Submission for him or herself and then also be part of a team.



    The Sponsor reserves the right in its sole discretion to contact an entrant(s) and require more information about the entrant’s background and/or the Submission. Entrant(s) may also be required to sign document necessary for the Sponsor to conduct a background check on the entrant(s). Failure to provide such information in the timeframe stated will result in immediate disqualification.

     



    5) Winner Selection

    The Submissions will be evaluated by the Sponsor or a panel selected by the Sponsor. A short list of finalists will be drawn up based on the Submissions the Sponsor in its sole discretion deem are the ‘best’. The finalists will be interviewed by the producers and/or Sponsor. After the interviews, the one (1) entrant whose Submission is determined to be the ‘best’ will win the Grand Prize (“Winner”). In determining what Submission is the ‘best’ the following will be considered: originality and uniqueness of the story, character, situation and setting as well as the quality of the script. Judges will be fair and impartial. Decisions of the judging panel will be final. Judging for the Grand Prize will be completed on or about June 30th, 2012. Entrants will not be discriminated against because of race, color, national original or any other reason.

     



    6) Development and Production Activities

    Sponsor shall have the right to engage in development and pre-production activities with respect to the Property (defined below) and the Picture. Any and all material created or written in connection with such development or pre-production activity shall remain Sponsor’s sole and exclusive property. If the Sponsor does not start production of the movie within twenty four (24) months of signing the production contract all rights that were provided to the Sponsor will revert back to the entrant.

     



    7) Grant of Rights

    Rights in the Property: The contest winner, by virtue of submitting work for consideration and being selected as a winner, shall be deemed to have granted and assigned to Producers, and Producers shall own, exclusively, absolutely and outright, and in perpetuity, all right, title and interest whatsoever in and to the Submission / Script (hereafter referred to as the “Property”), including, without limitation, all motion picture, television (including free, pay, cable, live or otherwise), dramatic, audio-visual (by means of cassettes, discs, and all other devices whether now or hereafter known), radio, live stage, computer-assisted media (including, without limitation, CD-1, CD-ROM, interactive cable and all other devices and methods whether now known or hereafter devised), publication, character and allied and ancillary rights thereto including the copyright in the Property and all renewals and extensions of copyright, the title of the Property and all characters contained therein, and all revisions, adaptations, dramatizations, and translations thereof and additions thereto, in all languages, for the entire universe, and Producers shall have the sole and exclusive right to produce, distribute, advertise, publicize and otherwise exploit any motion picture or other production or work based thereon, including, without limitation, any sequel to or remake of the Picture, by any method and by any means whatsoever, whether now known or hereafter devised.



    Rights in the Rewrite(s) and Polish(es): Contest winner acknowledges that all literary or other material written and all other results and proceeds of Contest winner’s services hereunder will be specifically commissioned by Producer under the Copyright Act of 1976 for use as part of a motion picture, and Winner agrees that Producer shall be the sole and deemed exclusive owner of all such literary material and other results and proceeds of Winner’s services hereunder, including the copyright (and renewals and extensions) thereof, and that Producer shall have the sole and exclusive rights throughout the world in perpetuity of production, recordation, public performance, publication, broadcasting, and reproduction by any method of all such literary material and other results and proceeds of Winner’s services hereunder. Winner shall execute all documents required by the Sponsor to effect the rights grant contemplated here under and appoint Sponsor as Winner’s attorney-in-fact. With the authority to execute all such documents.




    8) Final Decision
    Potential contest winner is subject to verification by Sponsor whose decisions are final and binding in all matters related to the Contest.



    9) Verification of Potential Winner

    Potential winner must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The potential winner will be notified by email, telephone, or mail after the date of the judging. The potential winner will be required to sign and return to Sponsor, within ten (10) days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited) in order to claim his/her prize if applicable. If the winner is a team, then both team members must sign and return the affidavit of eligibility, and liability/publicity release. Grand prize winning entrant(s) will also be required to sign all documents required by the Sponsor to have outright ownership of the movie transferred to the Sponsor or Sponsor’s designee. Failure to do so will result in immediate disqualification. Scripts by more than one contestant are eligible, but only one prize will be given and it will be the contestants’ responsibility to distribute the prize. If a potential winner of any prize cannot be contacted, fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if applicable), or if the prize or prize notification is returned as undeliverable, potential winner forfeits prize. In the event that a potential winner of a contest prize is disqualified for any reason, Sponsor may award the applicable prize to an alternate winner who had the highest score remaining of the eligible entries.




    10) Grand Prize


    One Grand Prize will be awarded. Grand Prize winner will receive a contract to have the movie featured in the winning Submission produced. The winning entrant will direct the movie. The production budget for the movie shoot is approximately two hundred and fifty thousand dollars ($250,000).



    Winner must commit and make themselves available at the Sponsor’s sole discretion for production, as well as all pre and post production events. Sponsor will have the sole discretion to determine where and when the movie shoot will take place. If the prize is won by a team, then the team (the directors) will be able to attend the movie shoot and related production events. Sponsor will pay for the winner’s reasonable travel and accommodation expenses in connection with the production. If the selected winner does not meet the professional standards imposed by the Sponsor and/or producer, the winner entrant (director) may be discharged from the production site and no other compensation will be provided. If the grand prize winner is unable to be present when the film gets shot, the Sponsor in its sole discretion reserves the right to hire a director to handle and complete the job that was required of the grand prize winner. This specifically includes an instance of the Grand Prize winner getting sick or a force majeure event. The contract the Sponsor presents to the selected Grand Prize winning entrant will not be negotiable. If the selected entrant does not sign the contract, the prize will be forfeited. Sponsor reserves the right to polish and make edits to the wining Submission.

     

    There is no cash equivalent for the prize, prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use.

     




    11) Entry Conditions and Release

    By entering, each participant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor, Administrator and/or the Contest judges which are binding and final in all matters relating to this Contest; (b) release and hold harmless the Sponsor, Administrator, and their respective parent, subsidiary, and affiliated companies, the prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest and Contest, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, creation of an entry or submission of an entry, participation in the Contest, acceptance or use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Sponsor and Administrator from and against any and all claims, expenses, and liabilities (including reasonable attorneys fees) arising out of or relating to an entrant’s participation in the Contest and/or entrant’s acceptance, use or misuse of prize.




    12) Remuneration

    The Winner of the contest will be entitled to a deferred directing fee of 5% in line with the direct budget of the film as well as ten percent (10%) of the producer’s net profits from the distribution of the film.




    13) Publicity

    Except where prohibited, participation in the Contest constitutes winners consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.



    14) General Conditions

    Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.



    15) Limitations of Liability

    The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Contest; (d) technical or human error which may occur in the administration of the Contest or the processing of entries; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Contest. No more than the stated number of prizes will be awarded.



    16) Disputes

    Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, other than those concerning the administration of the Sweepstakes or the determination of winner, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate New York State Court located in the New York, New York; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor and/or Administrator in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.



    17) Contest Results

    For Contest results send a hand-printed, self-addressed, stamped envelope to Persona Non Grata Contest – Winners’ List, c/o Mann Film Company LLC, 113 West 17th Street, Second Floor, New York, NY 10011, USA or 131-151 Great Titchfield Street London, W1W 5BB UK. Requests for the winners’ list must be received by April 15, 2012. DO NOT SEND ANY OTHER CORRESPONDENCE OR ENTRIES TO ADDRESS.
